1. Acceptance of terms
By accessing or using the Lenavix platform and website at lenavix.com (collectively, the “Service”), operated by Lenavix Inc. (“Lenavix”, “we”), you agree to these Terms of Use. If you do not agree, do not use the Service. Your continued use after we modify these terms means you accept the modified terms.
2. Description of service
Lenavix provides AI-powered regulatory legal due diligence for corporate counsel, venture capital and private equity legal teams, and law firms — including vendor reviews, portfolio reviews, and ongoing multi-jurisdictional regulatory monitoring. During beta and pilot phases, access is limited to invited participants. Features may change without notice.
3. Accounts
You must provide accurate registration information and keep your credentials confidential. You are responsible for activity under your account. The Service enforces tenant data segregation; you may not attempt to access another customer’s workspace. Account access may not be resold or shared with third parties without our written permission.
4. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose.
- Upload malicious code, viruses, or content you do not have the legal right to upload.
- Attempt to gain unauthorized access to the Service, other customer workspaces, or our infrastructure.
- Reverse engineer, decompile, or disassemble the Service.
- Resell or redistribute the Service or its outputs without our written consent.
- Perform automated data collection or scraping against the Lenavix dashboard or APIs except as expressly permitted.
5. Intellectual property
All content, features, functionality, software, AI models, trade secrets, and proprietary technology comprising the Service belong to Lenavix or its licensors. You retain ownership of the documents and data you upload (“Customer Data”) and grant Lenavix a limited license to process Customer Data solely to operate, secure, and improve the Service for you. AI-generated outputs — findings, citations, and jurisdictional analyses — are provided to support legal judgment, not to replace it, and require independent verification by a qualified professional.
6. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind. Lenavix’s outputs are generated by a human-in-the-loop architecture with source citations, but Lenavix does not guarantee that results are complete, accurate, current, or suitable for any particular purpose. Nothing in the Service constitutes legal advice. Customers remain responsible for the professional judgment applied to the Service’s outputs.
7. Limitation of liability
To the maximum extent permitted by law, Lenavix is not liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service. Lenavix’s aggregate liability for direct damages is capped at the fees you paid for the Service in the twelve (12) months preceding the event giving rise to the claim.
8. Data security
Lenavix encrypts Customer Data in transit using TLS 1.2 or higher and at rest using AES-256. We implement industry-standard administrative, technical, and physical safeguards. No system can be guaranteed absolutely secure, and Lenavix does not warrant uninterrupted or error-free operation. See our Privacy Policy for more detail.
9. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, including for breach of these terms. On termination, your Customer Data is destroyed or anonymized consistent with our Privacy Policy, subject to data we are legally required to retain.
10. Governing law
These terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. The courts located in Ottawa, Ontario have exclusive jurisdiction over any dispute arising out of or relating to these terms or the Service. Lenavix’s privacy practices are consistent with PIPEDA.
11. Changes
We may update these terms from time to time. The “Effective” date reflects the most recent revision. Material changes will be communicated to active customers. Continued use of the Service after a change means you accept the updated terms.
